A client relationship is created only when Kind Ledger and the client sign a separate written engagement agreement. Until a written engagement agreement is signed, Kind Ledger has not agreed to perform services for you, and you should not rely on website content or preliminary communication as professional advice or as a commitment to provide services.

If you engage Kind Ledger for services, the signed engagement agreement, statement of work, proposal, nondisclosure agreement, secure intake process, portal terms if applicable, or other written agreement will control the scope of work, fees, deliverables, timeline, confidentiality obligations, client responsibilities, access requirements, and related terms.

If there is a conflict between these Terms and a signed written engagement agreement, the signed written engagement agreement controls for that engagement.

7. Cannabis industry and compliance responsibilities

Kind Ledger works with licensed cannabis operators and related professional partners. Cannabis businesses operate under complex federal, state, local, tax, licensing, banking, accounting, inventory, and reporting requirements.

You are responsible for your own compliance with applicable laws, licenses, permits, regulations, tax obligations, reporting duties, banking requirements, inventory rules, and business obligations. Website content is not a substitute for advice from your CPA, tax preparer, tax attorney, attorney, licensing consultant, compliance advisor, or other qualified professional.

8. No guarantees

Kind Ledger does not guarantee tax savings, profit increases, cash-flow improvements, financing outcomes, audit outcomes, regulatory outcomes, business outcomes, or specific results from using this website or engaging with website content.

Subject to any different dispute-resolution terms in a signed written engagement agreement, any dispute arising out of or relating to the website or these Terms will be brought in the state or federal courts located in Illinois, and you consent to the jurisdiction and venue of those courts.

22. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the maximum extent permitted by law.
